1. Acceptance of Terms

By accessing and using the services provided by PT Dwara Artha Digital ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.

2. Services

We provide AI implementation, custom software development, data engineering, outsourcing, and healthcare digital solutions. Our services include but are not limited to:

• Data Engineering & Analytics
• Outsourcing & Managed Teams
• Healthcare Digital solutions (TotalCare)

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Cooperate in good faith during project execution
• Make timely payments as agreed
• Provide necessary access and resources
• Respect intellectual property rights

4. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in work products created specifically for you will be transferred to you upon full payment. Pre-existing intellectual property and general methodologies remain our property.

5. Confidentiality

We maintain strict confidentiality regarding your business information, data, and project details. We will not disclose confidential information to third parties without your explicit consent.

6. Limitation of Liability

Our liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate services with written notice. Upon termination, you will pay for all services performed up to the termination date, and we will deliver all completed work products.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of Indonesia. Any disputes shall be resolved through arbitration in Jakarta, Indonesia.
